1. THE PARTIES

1.1 The Seller

Represented by the Managing Director.

The Horizane Santé Online Store is the official online store for Horizane Santé products (Vitalens, Hydrolarm, Precitech, Mainclean, Nature & Senteurs, Horizane optic, Plic, Eclawhite, Fruitamines, Magic Eyes) in France.

1.2 The Customer

These General Terms and Conditions of Sale apply only to orders for Products placed on the horizane.com Online Store by natural persons of legal age who have the capacity to contract and who meet the definition of consumer within the meaning of the French Consumer Code (hereinafter the “Customer”).

The Customer declares that they are of legal age and have full legal capacity allowing them to commit under these general terms and conditions and to enter into contracts under French law.


2. CONDITIONS FOR APPLICATION OF THESE TERMS AND CONDITIONS

These general terms and conditions of sale apply without restriction or reservation to all sales of Horizane Santé Products (the “Products”) offered on the horizane.com Online Store.

Any order placed on the website https://horizane.com implies prior consultation and acceptance of these general terms and conditions.

The Customer acknowledges having read the General Terms and Conditions of Sale at the time the order is placed and at the latest at the time the order is validated.

3. SCOPE OF THIS AGREEMENT

The General Terms and Conditions of Sale are supplemented by the Privacy Policy of the Horizane Santé Online Store.

The General Terms and Conditions of Sale may be amended at any time. It is important to note that the applicable version is the one in force at the time the Customer validates the order, which is constituted by payment of the order.

4. INFORMATION ON THE PRODUCTS

Characteristics

In accordance with Article L.111-1 of the French Consumer Code, the Customer may, prior to placing an order, review the main characteristics of the Products offered for sale either on the Company’s website or by requesting information via the contact form.

When browsing the Online Store, the Customer may access the description of each Product (in particular the Product name, reference, price, color, composition). The main characteristics of the Products added to the cart are also recalled on the “Your cart” page.

Horizane reserves the right to modify its collections and to change the list and ranges of Products at any time. Product photos presented on the website and in catalogs are updated regularly but are not contractual.


Prices

Product prices on the website are in euros (€) including all taxes (VAT included), excluding delivery costs. Delivery costs depend on the order amount, weight, and the destination country.


Products

The items available for sale are those shown on the Website. They are offered subject to the availability displayed on the Website. The Company reserves the right to withdraw any item from sale or to modify any information associated with items shown on the Website.

The greatest care is taken in presenting the products and their descriptions. Photographs and descriptions provide the most faithful possible representation; however, non-substantial errors may appear on the website, which the Customer acknowledges and accepts.

In any event, non-conformity of the delivered item compared to its description on the website entitles the Customer to invoke the Company’s legal guarantee of conformity, with the Company’s liability limited to reimbursement of the item, delivery costs, and reasonable return costs incurred by the Customer.

The Customer undertakes to use the products in accordance with their intended purpose and to follow the instructions for proper use. Horizane Santé cannot be held liable for improper use of the products, in particular use for a purpose other than that intended.


Availability

Product offers at the prices presented on the website are valid while stocks last. Horizane does everything in its power to ensure maximum product availability for the Customer.

For technical reasons inherent to distance selling, it may happen that the Products chosen by the Customer are no longer available when the Seller confirms the order. In this case, the order will be cancelled and the Customer will automatically be refunded the price of the Product concerned, as well as any applicable delivery costs.


5. ORDER PROCESS

5.1 Placing an order — The order process includes the following steps:

- step 1: Select a product and add it to the cart.

- step 2: The Customer must complete their information (last name, first name, delivery address, etc.) when creating their Customer account or for each order. This information must be complete, accurate, and up to date. The Customer is responsible for the accuracy and completeness of the information in their Customer account and order to ensure proper processing. Thus, costs incurred by HORIZANE SANTÉ resulting from errors in the information provided by the Customer will be borne by the Customer, in particular the costs of reshipping the order.

- step 5: Choose delivery options after reviewing the timescales and prices for each delivery method offered, as indicated on the page;

- step 4: Accept all general terms and conditions of sale by ticking the box “I accept the general terms and conditions of sale” (box unchecked by default)

- step 7: Select the chosen payment method and proceed to payment.

- step 8: Enter payment details + validate the order

Any order placed by the Customer via the above steps constitutes an irrevocable acceptance of the general terms and conditions.

5.2 Order confirmation

A confirmation on screen and by email will be sent to the Customer to validate the order, provided that the email address entered in the registration form contains no errors. Final validation of the order will only take place after payment has been validated and accepted.

The confirmation email will include in particular the following information:

- The products and quantities purchased;

- The chosen shipping method;

- Identification of the order number;

- The total amount of the order (price, shipping costs, VAT, discounts, etc.);

- A link allowing the Customer to access the full details of their order;

It is the Customer’s responsibility to keep the contractual information on the medium of their choice.

5.3 Modification and cancellation of the order

The Seller reserves the right not to confirm an order, in particular in the event of refusal of payment authorization, an incorrect address, or any other problem with the user’s account. In this case, the Seller will inform the Customer by email.

The Customer may cancel their order as long as it has not been shipped. Once shipped, cancellation will no longer be possible and the Customer may exercise their right of withdrawal upon receipt of the product. The Seller reserves the right to refuse excessive orders from the Customer.

5.4 Availability of Products

The Seller makes every effort to ensure that the Products offered on the Horizane Santé Online Store and ordered by the Customer can be delivered. For technical reasons inherent to distance selling, it may happen that the Products chosen by the Customer are no longer available when the Seller confirms the order.

In this case, the order will be cancelled and the Customer will automatically be refunded the price of the Product concerned, as well as delivery costs if the order contained no other Product. If only part of the Products ordered by the Customer is unavailable, the other Products will be delivered and the Customer will be refunded the amount of the missing Product(s) not delivered.

6. PAYMENT

6.1 Product prices

The price is stated on the Product Page of the Online Store as well as in the “Cart” and the “Order summary”. The price of each Product is stated in euros and includes all taxes (VAT included). The Product price does not include any delivery costs, which are indicated to the Customer during the order validation process and before the Customer confirms the order.

The Seller reserves the right to modify prices at any time, but Products will be invoiced on the basis of the rates in force at the time the order is recorded, subject to availability.

6.2 Obligation to pay for the order

The Customer is informed and acknowledges that by placing an order on the Seller’s Online Store, they undertake to pay the Seller the full amount of the order at the time the order is validated and declare that they have the capacity and means necessary to do so.

6.3 Accepted payment methods

All orders are payable in EUROS. To pay for an order, the buyer may use the payment methods indicated in the order form: bank card and PayPal.

Payment in full must be made when the order is placed. At no time may the sums paid be considered as deposits or down payments.

For bank card payments made on its website, the Seller uses the secure payment service provided by its partner bank’s server. All information transmitted from the website https://horizane.com to the payment system is systematically encrypted to ensure confidentiality. All bank card payments made on the website are charged immediately.

6.4 Securing transactions

Payments on this website are made by bank card through a secure payment system. This website secures your confidential information with an SSL certificate. The information exchanged is thus encrypted with SSL (Secure Socket Layer) before being transmitted. As this information is unreadable, no one can use it without your knowledge.

Horizane Santé reserves the right to suspend or cancel any order and/or delivery in the event of non-payment by the Customer, a payment incident and/or fraud in the use of the website or the payment method chosen by the Customer.

Horizane Santé uses the 3D Secure system. 3D Secure is a system designed to secure payments made on the internet.

It allows, before the request for authorization, the Customer and their bank to be put in contact so that the bank can authenticate the cardholder. The authentication method is left to the cardholder’s bank’s discretion.

The Seller’s payment system offers a range of checks to optimize payment security, such as identifying the country of origin of a card and identifying the Customer’s IP address.

6.5 Retention of title

The delivered product remains the property of the Seller until full and effective payment of the price by the Customer. Failure to pay may lead to repossession of the product by the Seller.

The transfer of the risks of loss or deterioration to the Customer takes place on the date of delivery of the product, i.e., upon receipt of the product by the Customer.


7. DELIVERY OF THE ORDER

7.1 Place of delivery

Products ordered on the HORIZANE SANTÉ Online Store may be delivered in Metropolitan France (including Corsica) and in Europe.

7.2 Delivery costs and timescales

When placing the order, the Customer may choose between different delivery types. The delivery method preselected by default is standard delivery. Delivery costs, delivery times, and the carrier depend on the delivery method chosen by the Customer:

1. Standard delivery: delivery time is 2 to 5 business days from shipment confirmation;

2. Delivery to a pickup point: delivery time is 2 to 5 business days from shipment confirmation.

3. In-store delivery: delivery time is 1 business hour from order confirmation.

Products ordered by the Customer will be delivered within a maximum of 30 days from the confirmation of the order and payment.

In the event of product unavailability, the Seller undertakes to inform the Customer as soon as possible so that the Customer may be refunded without delay and at the latest within 14 days of payment of the sums paid.

7.3 Delivery tracking

The Customer receives an email confirming shipment of the order and indicating the tracking link allowing them to locate the parcel.


7.4 Late delivery

In the event of late delivery (delivery exceeding 30 days), the Customer may require the Seller to deliver within an additional reasonable time. If the Seller fails to do so within this time, the Customer may cancel the order, unless the Seller performs in the meantime or the delay results from force majeure. Requests must be sent via the form by clicking here.

The Seller’s liability cannot be engaged and the Seller cannot be held responsible for the consequences of events beyond its control, in particular force majeure or fortuitous events, which tend to delay or prevent delivery of the ordered product.

In the event of a foreseeable extension of the delivery time, the Seller undertakes to inform the Customer as soon as possible and by any means so that the Customer may choose to maintain or cancel all or part of the order.

Where the delivery time constitutes an essential condition of the sales contract for the Customer, the Customer may immediately terminate the contract in accordance with the above terms, without requiring the Seller to deliver within an additional reasonable time. The determining nature of the delivery time may result from the circumstances expressly surrounding the conclusion of the contract. If delivery occurs in the meantime, the order must be returned in full to the Seller and the Customer will be refunded the amount of the order and return costs in accordance with the refund terms set out in these General Terms and Conditions of Sale.

7.5 Cancellation of the order

When the order is cancelled, the Seller will refund the Customer all sums paid at the latest within fourteen days from the date the contract was terminated.

If delivery occurs in the meantime, the order must be returned in full to the Seller and the Customer will be refunded the amount of the order and return costs in accordance with the refund terms set out in these General Terms and Conditions of Sale.

7.6 Delivery difficulties

Under Article 1193 of the French Civil Code, a contract (including an online sale) is irrevocable, unless one of the parties fails to meet its obligations.

Under Article 1231-1 of the French Civil Code, a party who suffers damage due to the fault of the other party may claim compensation for the damage suffered.

If delivery is impossible due to an address error provided by the Customer, delivery costs will not be refunded and a new shipment may be offered at the Customer’s expense. If the error is attributable to the Seller or its carrier, the order will be reshipped at no additional cost to the Customer or, if that is impossible, fully refunded, including delivery costs.

In the event of force majeure making performance of the order impossible, the Seller will inform the Customer as soon as possible. If the impediment persists beyond a reasonable period, the Customer may cancel the order and will be refunded within 14 days for the sums paid, including delivery costs.

7.7 Conformity of the order and reservations

If the Products received by the Customer do not correspond to those ordered, or if the order is incomplete or damaged during transport, the Customer must make reservations and contact the Seller’s Customer Service. The Customer must report the difficulties encountered within 48 hours of receiving the products. Failing reservations within the aforementioned 48-hour period, the delivery will be deemed compliant.

7.8 Transfer of risks

The risks of loss and damage to the ordered Products are transferred to the Customer upon physical receipt of the parcel. If delivery is impossible due to force majeure, the Customer may cancel the order and will be refunded within 14 days for the sums paid.

7.9 Non-collection of parcels and delivery costs

In accordance with Article L. 216-1 of the French Consumer Code, delivery is deemed completed when the consumer takes physical possession of the goods or when the goods are made available under the terms provided for at the time of the order. If the Customer does not collect the parcel within the time limits set by the carrier and it is returned to us, the Seller cannot be held responsible for non-delivery.

In this case, the Customer may choose:

A new shipment of the parcel, with reshipping costs borne by the Customer.

A refund of the order amount, excluding the initial delivery costs, which cover a service already rendered in accordance with the Seller’s obligations.

The refund will be made within 14 days after receipt of the returned parcel, and the Customer will be informed by email of the processing of the request.


8. RIGHT OF WITHDRAWAL

8.1 Terms and time limit

Pursuant to Article L 221-18 et seq. of the French Consumer Code, the Customer has a withdrawal period of thirty days from the date of receipt of the order by them or by any third party designated by them. To inform the Seller—via the form by clicking here—of their wish to exercise the right of withdrawal.

In order to properly process the return, the Customer is asked to indicate on a copy of the invoice and the withdrawal form as appended to these General Terms and Conditions of Sale.

To exercise their right of withdrawal, the Customer must:

Within 15 days from receipt of the Product, inform the Seller of their decision to withdraw by sending the withdrawal form from their customer account page.

No later than 7 days after notifying the decision to withdraw, the Customer must return the Products concerned, in perfect condition and in their original packaging. Failing this, the Seller reserves the right to refuse the return of the Products.

To return the Products, the Customer must follow the steps below:

1. Complete the order return form in their customer area

2. Place the product(s) to be returned in the original packaging.

3. Insert the return form and a copy of the invoice in the parcel

4. Go to the carrier of their choice (excluding pickup points) to return the parcel to the following address, with return costs borne by the Customer: Horizane Santé, Pôle d’Activité, 205 rue Louis Berton, 13290 Aix en Provence, France

Return costs are borne by the Customer, unless the product is defective or non-compliant. The Customer may try the product under normal conditions of use in-store. In the event of depreciation due to excessive handling, a partial refund may be applied.

The Customer bears all risks of this shipment. The Seller will not be responsible in the event of loss, theft or delay of the returned product. The burden of proof of return lies with the Customer.

Accordingly, the Seller undertakes to refund the Customer within a maximum period of 14 days from the earliest of the following events: actual return of the product or the Customer sending proof of shipment of the product, directly to the payment method used.

Any order returned without having been declared via the withdrawal form will not be processed.

8.2 Refund

The refund of the price of returned Products will be made according to the payment method chosen when placing the order.

The refund will be made as soon as possible after the Seller has processed the return of the Products, giving rise to the sending of an email confirming receipt of the returned products to the Customer.

9. LEGAL GUARANTEES

For any Product purchased on the Seller’s Online Store, the Customer benefits from the following legal guarantees:

9.1 Conformity guarantee

Article L217-4: The seller is required to deliver goods that conform to the contract and is liable for any lack of conformity existing at the time of delivery. The seller is also liable for lack of conformity resulting from packaging, assembly instructions, or installation when such installation was the seller’s responsibility under the contract or was carried out under the seller’s responsibility.

Article L217-5: To conform to the contract, the goods must:

1° - Be fit for the usual purpose expected of similar goods and, where applicable:

- Present the qualities that a buyer may legitimately expect in view of the public statements made by the Seller, in particular in advertising or labeling;

2° Or present the characteristics defined by mutual agreement between the parties or be fit for any special purpose sought by the buyer, made known to the seller and accepted by the seller.

Article L217-12: Any action resulting from lack of conformity is time-barred after two years from delivery of the goods.

In the event of lack of conformity of the Product at delivery, the Customer may request replacement of the Product. If replacement is impossible, the Customer may obtain a refund equal to the purchase price of the Product.

To facilitate implementation of these guarantees, the Customer must keep the Product invoice.

Any defect, breakage, or deterioration of the Product resulting from improper use of the Products by the Customer cannot give rise to activation of any legal or commercial guarantee.

9.2 Guarantee against hidden defects

Article 1641: The seller is bound by a warranty on account of hidden defects in the sold item which render it unfit for the use for which it is intended, or which so reduce that use that the buyer would not have acquired it, or would have paid a lower price, had they known of them.

Article 1648: An action resulting from redhibitory defects must be brought by the Customer within two years from discovery of the defect.


10. INTELLECTUAL PROPERTY

The Seller remains the owner or exclusive licensee of all intellectual and industrial property rights in the products and this website. The purchase of a Product does not confer any rights to the Customer over the products, their representations, or the product designation. Any use by the Customer, in any manner whatsoever, of any of the above elements is strictly prohibited.

Any reproduction, representation, use, or total or partial modification of these elements is prohibited.

11. PERSONAL DATA

As part of processing orders, the Seller is required to collect and process the Customer’s personal data as well as that of the order recipient. The Seller respects the confidentiality of this data and undertakes to comply with the French Data Protection Act of 6 January 1978 when processing it. The Customer is informed that their data may be used by the Seller or a third party designated by the Seller to process the order, inform them of new products and promotional offers, competitions, etc. In accordance with the French Data Protection Act of 6 January 1978, the Customer has the right of access, objection, rectification, and deletion of data concerning them by contacting the Seller’s customer service via the form by clicking here.


12. COMMUNICATION BY ELECTRONIC MEANS

By using our online sales service, the Customer expressly and unreservedly accepts that all statements, notices, information, and other communications relating to the Products will be transmitted electronically, unless mandatory legal provisions require exclusive use of a non-electronic written form.

In the event of a dispute, documents stored in the Seller’s computer databases shall constitute proof.



13. MISCELLANEOUS

13.1 Severability

If one or more provisions of these General Terms and Conditions of Sale prove to be invalid, unlawful, or unenforceable for any reason whatsoever, the validity of the other provisions shall not be affected and the other provisions shall remain in force.

The fact that one or other party does not claim application of any clause of these General Terms and Conditions of Sale or acquiesces in its non-performance, whether permanently or temporarily, shall not be interpreted as a waiver by that party of the rights arising for it from that clause.

13.2 Dispute resolution

Pursuant to Article L.612-1 of the French Consumer Code, disputes falling within the scope of consumer disputes are exclusively those defined in Article L.611-1 of the French Consumer Code, namely contractual disputes relating to the performance of a contract for the sale of goods or the provision of services, between a consumer and a professional. The text covers both domestic and cross-border disputes.

In the event of a dispute relating to the formation, conclusion, validation, interpretation, performance, termination, or consequences of termination of these General Terms and Conditions of Sale, the Customer will first contact the Seller in order to seek an amicable solution.

Only complaints relating to online sales of Products on the Seller’s Online Store will be taken into account.

13.3 European disputes

Any dispute that cannot be resolved amicably may be the subject of a complaint on the dispute resolution platform set up by the European Commission, accessible at the following address: https://webgate.ec.europa.eu/odr/main/index.cfm?event=main.home.show&lng=FR. The Customer may, at their own expense, be assisted by an advisor.

13.4 Language and applicable law

These General Terms and Conditions of Sale and sales carried out on the Seller’s Online Store are governed by French law and drafted in French.

14.5 Amendment of the General Terms and Conditions of Sale

These General Terms and Conditions of Sale may be amended at any time by the Seller. The applicable version is the one in force at the time the Customer validates the order, which is constituted by payment of the order by the Customer.

The Seller reserves the right to apply specific limits of these clauses to promotional offers: sales, bundled offers, free Products, sales with bonuses, various discounts and free deliveries.

The Customer is invited to save and print these General Terms and Conditions of Sale, which shall prevail between the parties.
